Terms & Conditions

KO Displays Ltd – Terms & Conditions

These Terms & Conditions govern the contract between you (“the Buyer”) and KO Displays Ltd (“the Seller”, “we”, “us”, “our”) for the sale of goods and services. By placing an order with us, you agree to be bound by these terms.

1. Contract Formation

  • No binding contract shall exist until we accept your order in writing.

  • All quotations are valid for 30 days unless otherwise stated.

  • Prices may be altered without notice, and we reserve the right to withdraw a quotation at any time.

2. Prices

  • All prices are exclusive of VAT, packing and delivery charges unless expressly stated.

  • VAT and delivery charges will be added at checkout where applicable.

3. Payment

  • Unless otherwise agreed, full payment is due at the time of order.

  • If credit terms are agreed, payment must be made within 30 days of invoice.

  • Late payments may incur interest at a rate of 1.5% per month or part thereof.

4.1 Delivery Dates

Any production or delivery dates provided by KO Displays are estimates only and are given in good faith based on the information available at the time of quotation or order.

Whilst we will always use reasonable endeavours to meet requested production and delivery timescales, delivery dates cannot be guaranteed unless expressly confirmed in writing by a director of KO Displays.

4.2 Delays

KO Displays shall not be liable for any delay in production or delivery caused by circumstances beyond our reasonable control, including but not limited to:

  • Delays from manufacturers or suppliers.

  • Courier or transport delays.

  • Traffic disruption.

  • Customs clearance.

  • Adverse weather conditions.

  • Industrial action.

  • Force majeure events.

  • Delays caused by late artwork approval or changes requested by the Customer.

Where a delay occurs, KO Displays will make every reasonable effort to keep the Customer informed and minimise any disruption.

4.3 Event Deadlines

Many of the products supplied by KO Displays are intended for exhibitions, trade shows, sporting events, festivals, promotional events and other time-sensitive occasions.

Whilst we understand the importance of these deadlines and will always use reasonable endeavours to deliver in time, KO Displays does not guarantee delivery for any specific event or date unless expressly agreed in writing.

The Customer accepts that delivery dates are estimates only and that KO Displays shall not be liable for any loss, damage, expense or inconvenience arising from production or delivery delays.

4.4 Missed Events

KO Displays shall not be responsible for any losses arising from delayed production or delivery, including but not limited to:

  • Missed exhibitions.

  • Missed trade shows.

  • Missed sporting events.

  • Missed festivals.

  • Missed promotional opportunities.

  • Loss of bookings.

  • Loss of revenue.

  • Loss of profits.

  • Loss of business.

  • Additional hire costs.

  • Any other direct, indirect or consequential losses.

4.5 Time Not of the Essence

Time for delivery shall not be of the essence unless expressly agreed in writing by a director of KO Displays.

5. Returns, Defects & Liability

Defective or Damaged Goods

  • You must notify us of any defects in quality or condition within 48 working hours of delivery.

  • Claims for shortages or damage must be notified within 7 days of receipt.

Returns

  • Personalised goods cannot be returned unless they are damaged or defective.

  • For non-personalised goods, returns may be accepted at our discretion and may incur return delivery costs or restocking charges.

Liability Limitations

  • Our liability for defective goods is limited to replacement, repair, or refund at our discretion.

  • We shall not be liable for any indirect or consequential losses.

6. Product Specifications

  • We reserve the right to alter specifications, designs, materials or colours without notice provided the goods remain of an equivalent quality.

  • All measurements and descriptions are approximate.

  • Colours shown on screen or in print samples may not be an exact match to the finished product.

7. Intellectual Property

  • All design rights, copyrights, trademarks, and other intellectual property related to products remain the property of KO Displays Ltd unless otherwise agreed in writing.

  • You may not reproduce our intellectual property without written consent.

8. Risk and Ownership

  • Risk in goods passes to you upon delivery.

  • Ownership remains with KO Displays Ltd until full payment has been received for all sums owed by you at the time of delivery.

9. Orders in Writing

  • All orders must be confirmed in writing (electronically or otherwise) and accepted by us before they are binding.

10. Applicable Law

  • These terms are governed by the laws of England and Wales.

  • The English courts shall have exclusive jurisdiction in the event of any dispute.

11. Special Offers & Discounts

  • Only one discount or promotion may be applied per order unless otherwise stated.

  • Special offers cannot be combined with other discounts or bulk pricing unless explicitly permitted.

12. Customer Reviews

  • By submitting any review or feedback, you grant KO Displays Ltd the right to use, reproduce, or publish your content in any format.

  • Reviews must not contain defamatory, unlawful, or inappropriate content.

13. Email Communications

  • By providing your email address, you consent to receiving transactional and service-related emails regarding your order.

  • You may opt-out of marketing emails at any time.


14. Limitation of Liability

  • 814.1 General

  • Nothing within these Terms and Conditions shall exclude or limit KO Displays' liability where such liability cannot legally be excluded under the laws of England and Wales.

  • 14.2 Maximum Liability

  • Subject to Clause 8.1, KO Displays' total liability arising from any Contract, whether in contract, negligence or otherwise, shall not exceed the total value of the Goods and/or Services supplied under that Contract.

  • 14.3 Consequential Loss

  • KO Displays shall not be liable for any indirect, special or consequential loss whatsoever, including but not limited to:

  • Loss of profit.

  • Loss of revenue.

  • Loss of business.

  • Loss of contracts.

  • Loss of goodwill.

  • Loss of opportunity.

  • Loss of anticipated savings.

  • Missed exhibitions.

  • Missed trade shows.

  • Missed sporting events.

  • Missed festivals.

  • Event cancellation costs.

  • Additional venue costs.

  • Additional staffing costs.

  • Additional hire costs.

  • Third-party claims.

  • Any other financial or commercial loss arising from delayed production, delayed delivery or any failure to meet an estimated delivery date.

  • 14.4 Third-Party Services

  • Where delivery is carried out by third-party couriers or transport providers, KO Displays shall not be liable for delays, loss or damage caused by those third parties beyond the remedies available under their own terms and conditions.

  • 14.5 Customer Responsibility

  • It is the Customer's responsibility to ensure that sufficient time is allowed for artwork approval, production, dispatch and delivery before any required event date.

  • KO Displays recommends placing orders as early as reasonably possible and does not accept responsibility where insufficient lead time has been allowed by the Customer.

KO Displays accepts no liability for any losses, costs or damages arising from delayed production or delivery, including missed exhibitions, events or trading opportunities.
